The precise scope of services for any engagement is defined in the written proposal or quotation issued to you, which forms part of these Terms.
3. Proposals and Quotations
All proposals are issued in writing and carry a unique reference number in the format SE/[Financial Year]/[Serial Number]. Unless stated otherwise on the proposal:

An engagement is confirmed only upon written acceptance of the proposal by you and receipt of the advance payment by us.
4. Payment Terms
Unless a different schedule is agreed in writing on the proposal:
| Stage | Amount Due |
|---|---|
| On confirmation of the engagement | 50% of the total contract value |
| No later than 7 days before the event date | Balance 50% |

All invoices are raised by Shri Mahaveer Enterprises. Applicable GST is charged on invoices as per prevailing rates.
5. Client Obligations
To enable us to deliver the agreed services, you agree to:
- Provide accurate and complete information about your requirements, guest numbers and timelines
- Provide brand assets, artwork, content and approvals within the timelines we specify
- Obtain any permissions, licences or clearances that are your responsibility as the event host
- Make payments in accordance with the agreed schedule
- Nominate a single point of contact authorised to approve decisions and costs on your behalf
Delays caused by late approvals, late information or late payment may affect delivery, and any resulting additional costs will be to your account.
6. Changes to Scope
Any change to the agreed scope, guest count, venue, date or specification after confirmation must be requested in writing. We will advise the cost and feasibility implications before proceeding. Additional costs arising from scope changes are payable by you.
7. Third-Party Vendors and Venues
Delivery of events necessarily involves third parties including venues, hotels, caterers, production and audio-visual suppliers, transport providers, artists and performers. Where we engage such parties on your behalf, we do so as your agent and with reasonable care in their selection. Their own terms, cancellation conditions and payment schedules will apply to those components, and we will make these known to you where relevant.
8. Intellectual Property
All content on this website — including text, layout, graphics, the Staunch Eventz name and logo — is our property or licensed to us, and may not be reproduced without written permission.
Concepts, designs, creative proposals and production plans prepared by us remain our intellectual property until the engagement is confirmed and paid for in full, after which a licence to use the delivered materials for the specified event is granted to you.
Your trademarks, logos and brand assets remain your property. You grant us a limited licence to use them solely for the purpose of delivering the agreed services.
9. Event Photography and Publicity
Unless you notify us otherwise in writing before the event, we may photograph or record events we manage and use such material in our portfolio, website, social media and marketing communications. We will not disclose confidential commercial information in doing so. You may withdraw this permission at any time by written notice, and we will remove the material from our own channels within a reasonable period.
10. Confidentiality
Each party agrees to keep confidential any non-public commercial, technical or operational information disclosed by the other in connection with an engagement, and to use it only for the purpose of that engagement. This obligation survives completion of the engagement.
11. Limitation of Liability
We deliver our services with reasonable skill and care. However, to the extent permitted by law:
- Our total liability arising out of or in connection with any engagement shall not exceed the total fees actually paid by you to us for that engagement
- We shall not be liable for indirect, incidental or consequential losses, including loss of profit, loss of business opportunity, or reputational loss
- We shall not be liable for acts, omissions or failures of third-party vendors, venues or performers beyond our reasonable control
- We shall not be liable for loss or damage to your property, or that of your guests, at an event venue
Nothing in these Terms excludes liability that cannot lawfully be excluded.
12. Indemnity
You agree to indemnify us against any claim, loss or expense arising from your breach of these Terms, from content or materials you supply to us, or from the conduct of your guests or representatives at an event.
13. Force Majeure
Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including natural disaster, fire, flood, epidemic or pandemic, war, civil unrest, terrorism, strike, government order, restriction on public gatherings, or failure of essential public infrastructure.
Where a force majeure event prevents an event from proceeding, we will work with you in good faith to reschedule. Third-party costs already committed or paid on your behalf remain payable, subject to whatever recovery is possible from those vendors.
14. Cancellation and Refunds
Cancellation of a confirmed engagement is governed by our Cancellation Policy. Refund eligibility and processing are governed by our Refund Policy. Both form part of these Terms.
15. Privacy
Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.
16. Website Use
This website is provided on an "as is" basis. While we take care to keep information accurate and current, we do not warrant that it is complete or error-free. You agree not to use this website for any unlawful purpose, or in any way that may damage, disable or impair it.
17. Amendments
We may update these Terms from time to time. The version published on this page at the time an engagement is confirmed is the version that applies to that engagement. The "last updated" date at the top of this page indicates when the Terms were last revised.
18. Governing Law and Jurisdiction
These Terms are governed by the laws of India. The courts at New Delhi shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or any engagement.
The parties will first attempt to resolve any dispute amicably through discussion between senior representatives before commencing formal proceedings.
